Welcome to LinkDepot.net (referred to herein as "LinkDepot", "the Directory", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between LinkDepot and any individual or entity ("User", "Subscriber", "Partner", or "you") accessing, browsing, submitting content to, or licensing directory services through our digital platforms. By accessing LinkDepot.net, you unconditionally agree to be bound by these Terms and our integrated Privacy Policy. If you do not agree, you must immediately discontinue use of this service.

1. Directory Listing Eligibility & Editorial Verification Standards

LinkDepot maintains rigorous editorial standards to protect our search authority and preserve consumer trust. Submissions must satisfy strict quality thresholds:

• Verifiable Commercial Existence: The submitting business must be an active, legally recognized corporate entity in good standing with state or national business registries. Virtual mailboxes, P.O. boxes, and temporary residential addresses are ineligible for physical listing claims.
• Editorial Discretion & Rejection Rights: LinkDepot reserves the unreserved, absolute right to approve, reject, edit, categorize, or delete any listing submission that fails to meet quality standards, contains spam keywords, or violates federal, state, or international laws.
• Prohibited Content Verticals: Submissions promoting deceptive lead generation, predatory financial lending, adult content, illicit pharmaceuticals, or counterfeit goods are strictly banned.

2. Reciprocal Partner Program Compliance & Badge Governance

Businesses participating in the LinkDepot Verified Partner Program agree to maintain active reciprocal attribution according to our official guidelines:

1. Unobstructed Badge Visibility: The partner badge must be integrated using official embed code and rendered with positive dimensions and clear color contrast. Obfuscation techniques, including display: none, visibility: hidden, zero opacity, or off-screen positioning, violate these Terms and constitute grounds for immediate account termination.
2. Automated Compliance Auditing: You acknowledge and authorize LinkDepot's automated crawlers to inspect your registered website periodically to verify badge presence and functionality.
3. Grace Period & Status Transitions: If our crawlers fail to detect the badge, your account will enter a 7-day grace period with automated email notification. If the badge is not restored within 7 calendar days, the listing will be downgraded to standard tier without refund.

3. Subscription Billing, Renewals & Refund Policies

Certain premium directory services, featured placements, and API access require payment of recurring subscription fees:

• Recurring Billing Cycles: Paid subscriptions are billed in advance on a recurring monthly or annual basis. You authorize LinkDepot to charge your designated payment method at each renewal cycle until canceled.
• Cancellation Policy: You may cancel your subscription at any time via your account portal. Cancellations take effect at the conclusion of the current billing cycle.
• No-Refund Policy for Editorial Services: Due to the immediate expenditure of editorial labor, database indexing, and API processing, all listing review fees and subscription payments are strictly non-refundable.

4. Intellectual Property Rights & DMCA Takedown Procedure

LinkDepot respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512):

• User Content License Grant: By submitting text, logos, or corporate data to LinkDepot, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to host, display, format, and distribute that content across our directory platforms and search engine knowledge graph feeds.
• DMCA Notice Filing: If you believe your copyrighted work has been improperly indexed or displayed on LinkDepot, submit a formal notice to our Designated Copyright Agent at legal@linkdepot.net including identification of the work, the infringing URL, your contact details, and a statement made under penalty of perjury.

5. Disclaimer of Warranties & Limitation of Liability

THE SERVICES, DIRECTORY CATALOGS, AND VERIFICATION BADGES PROVIDED BY LINKDEPOT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LINKDEPOT DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC SEARCH ENGINE RANKINGS, TRAFFIC VOLUMES, OR COMMERCIAL SALES LEADS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKDEPOT AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU TO LINKDEPOT IN THE PRECEDING TWELVE MONTHS.

6. Mandatory Binding Arbitration & Governing Law

Any legal controversy, claim, or dispute arising out of or relating to these Terms shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You expressly waive any right to initiate, join, or participate in class action lawsuits, class-wide arbitrations, or representative legal proceedings against LinkDepot. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
